TERMS AND CONDITIONS FOR THE INDEPENDENT DISTRIBUTOR(S) AGREEMENT

Legal Terms
  • When the time of signing up you must provide your full legal name, full bank address, PAN Card copy, a valid e-mail address, working mobile number, photo and any other information requested in order to complete the signup process.

 

  • You must be 18 years old or elder to become a distributor. You are responsible for maintaining the security of your account and password. HEROIC NETWORK cannot and will not be liable for any loss or damage from your failure to comply with this security obligation.

 

Modification to Service

 

  • HEROIC NETWORK reserves the right at any time or periodically to modify or amend, temporarily or permanently, the service (or any part thereof) with or without notice.

 

Warranty Disclaimer

 

  • The warranty status of the product shall be mentioned as applicable in the site for easy reference.

 

DISTRIBUTOR(S) POLICY

Unique Identity :
  • An active Independent Distributor(s) will receive a membership card after he receives his first sales bonus and Rs. 50 shall be deducted as a fee in this regard. If a Distributor(s) membership card is lost, broken or misplaced, a written letter along with a nominal fee of Rs. 100/- (Rupees Hundred only) must be remitted for reissue of card and such card will be issued within fifteen (15) days from the date of receipt of such request along with the prescribed fee.

Benefits of Independent Distributor(s)

Once HEROIC NETWORK accepts an Independent Distributor(s) Application and Agreement, the benefits of the Business Plan and the Independent Distributor(s) Agreement are available to the new Independent Distributor(s).

These benefits are as follows:

  • To purchase HEROIC NETWORK products at the prescribed MRP.

  • Participate in promotional and incentive contests and programs sponsored by HEROIC NETWORK for its Independent Distributor(s).

  • Independent Distributor(s) may retail HEROIC NETWORK products and earn retail profit from these sales, subject to the terms and conditions of these policies and procedures.

  • The company shall maintain a sales account of the Independent Distributor(s) and shall be made available for inspection through their website.

  • A unique ID and password shall be awarded to facilitate verification of their respective business account.

  • Distributorship may be awarded as a privileged customer with no deposit and other conditions.

  • Distributorship is awarded without any commitment/or promise from the company in terms of possible earning potentials.

  • The Independent Distributor(s), upon appending his signature at the bottom these presents and confirming through online in the company’s official website, shall be deemed to have accepted the distributorship as Independent Consumer(s) and hereby covenants as under.

  • That he has clearly understood the Business opportunity, marketing programme, the compensation plan, its limitations and conditions and, he is not relying upon any representation or premises that is not set out in these terms and conditions or other officially printed or published materials of the company.

  • Shall act as an independent body and shall not comment any misfeasance or malfeasance to create any liability/obligation over the company of whatsoever nature.

  • An Independent Distributor(s) is not an Agent/Employee or any other legal representative of the company or its service providers.

  • Distributor hereby declare that all information furnished to the company is true and correct. The company shall be at liberty to take any action against the distributor, in the event, it is found that the distributor furnished any wrong/false information to the company and the company’s decision will be final.

  • No communication will be entertained without a unique ID and password. Distributor shall preserve the ID properly as it is before logging on to the website.

  • Once a distributorship is terminated, he cannot enter into any of the company premises/meeting locations and his facilitation fee/his name would be removed and he would not be entitled to receiving any fees going forward immediately.

  • Where distributor is found to have made no sales of goods or services up to one year since the contract was entered into, or since the date of last sale made by the direct seller.

  • Distributor engaged in distributors should carry their identity card and not visit the customer’s premises without prior appointment/approval.

  • Offer a prospective consumer accurate and complete explanations and demonstrations of goods and services, prices, credit terms, terms of payment, return policies, terms of guarantee, after-sale service.

  • Provide the following information to the prospect/consumers at the time of sale namely :

  1. Name, Address, Registration Number or Enrolment Number, Identity Proof and Telephone Number of the direct seller and details of direct selling entity.

 

  1. A description of goods or service to be supplied.

  2. Explain to the consumer about the goods return policy of the company in the details before the transaction.

A distributor shall keep a proper book of accounts stating the details of the products, price, tax and the quantity and such other details in respect of the goods sold by him/her, in such form as per applicable law.

A Distributor shall not:
  1. Use misleading, deceptive and/or unfair trade practices

  2. Use misleading, false, deceptive, and/or unfair recruiting practices, including misrepresentation of actual or potential sales or earnings and advantages of Direct Selling to any prospective distributor, in their interaction with prospective direct sellers.

  3. Make any factual representation to a prospective distributor that cannot be verified or make any promise that cannot be fulfilled.

 

PRODUCT PURCHASE PAYMENT

  • Product will be delivered to the customer by courier within 10 to 15 days.

  • Customers can track the courier ID and details from their own login page.

CUSTOMER REFUND POLICY

 

Refund Policy

 

  • Retail customers are guaranteed 100% product satisfaction within 30 days from the date of purchase of the product.

  • HEROIC NETWORK is a company who is providing full support to our customers for receiving quality products. If the product is having manufacturing defects, it can be returned within 15 working days from the date of receipt.

 

  • If you change your mind, you can return the product to us within 30 days of delivery. The company shall pay all the money back within 10 working days after deducting the courier charges and service charge.

  • Shipping charges, Service tax and Sales Tax paid on the original order will not be reimbursed.

  • HEROIC NETWORK will deduct the amount of commissions or any other earnings, benefits paid on the returned products from the appropriate distributors as and when required.

  • All physical products must be packed in the original, unmarked packaging including any accessories, manuals and documentation with sender’s identity and invoice.

  • HEROIC NETWORK reserves the right to reject repetitive product returns.

 

How to request a refund?

 

  • You may opt out of any future contacts from us at any time. You can do the following at any time by contacting us via the email address or phone number given on our website.

  • Contact via email and customer care number to notify the company for the product issue.

  • Ask your sponsor leaders to make arrangements for a return.

  • The company will assist you and guide you to replace/cancel your orders quickly.


 


 

 

The agreement describes the material terms of participation and shall :

  1. Not compel or induce the Distributor to purchase goods or services in an amount that exceeds an amount that can be expected to be sold to the consumer within a reasonable period of time.

  2. Allow or provide a 30 days of cooling-off period in which to cancel participation and receive a refund for goods or services purchased.

  3. Allow a termination of contract with a reasonable notice, in such instance and on such.

  4. Distributor and company shall be guided by the provision of the Consumer Act 1986.

GRIEVANCES AND COMPLAINTS

 

When an Independent Distributor(s) has a grievance or complaint with another Independent Distributor(s) regarding any practice or conduct in relationship to their respective HEROIC NETWORK business, the complaining Independent Distributor(s). If this does not resolve the problem, the complaining Independent Distributor(s) should report the problem to his/her up line Diamond Leader to resolve the issue at a local level. If the matter cannot be resolved within thirty (30) days from the date on which it was reported to the up line Diamond Leader, it must be reported in writing to the HEROIC NETWORK Compliance Department. The Compliance Department will review the complaint and make a final decision.

 

Allow or provide that all the problems arising shall be handled by the Grievance Redressal Committee consisting within seven days which shall consist of at least 5 officers of each department namely Customer Complaints and Distributor Complaints.

 

COMPLIANCE DEPARTMENT REVIEW

 

Upon receipt of a written complaint, the HEROIC NETWORK Compliance Department will investigate the matter, review the applicable policies, and render a decision on how the dispute shall be resolved.

 

GENERAL CONDITIONS

 

  • Technical support is only available via email/customer care number. While HEROIC NETWORK will work to respond to all requests within 7 working days.

  • There is no fee or no commission for enrolments .

  • HEROIC NETWORK is not issuing shares or not accepting any sort of investments from any person.

  • The company under no circumstances will accept payment in cash for product sales.

  • All consumers/independent distributor before ordering online or making the payment are advised to physically book and feel that products that are available for demo/display at our locations, such as the images shown the company’s website/printed materials or through, any other mode by the company is only for reference and the actual product may vary.

  • The company reserves its right to modify the terms and conditions, products, plans, business and policies with/without giving prior notice. Such notice may be published through the official website of the company, and any such modification/amendment shall be applicable and binding upon the distributor from the date of such publication.

  • Distributor is prohibited from listing, marketing, advertising, promoting, discussing or selling any product, or the business opportunity on any website or online forum that offers like auction as a mode of selling. Please refer to the code of conduct of our distributor policies and procedures for complete details.

  • The distributor hereby undertakes not to compel or induce or mislead any person with any false statement/promise to purchase products from the company or to become distributor of the company.

  • Parties shall maintain confidentiality with respect to company’s information including but not limited to company’s policies, product details, facilitation fee etc. save and except to the extent that is required for furthering sale of products.

 

PROUCT REFUND POLICY

 

  • All HEROIC NETWORK products are covered under HEROIC NETWORK ’s Customer Product Refund Policy.

  • When the product is delivered to the customer and if it is found defective or has any manufacturing defect, the customer shall send it back to the company within 30 days of receipt whereon, the company will replace the product immediately at no extra cost.

  • If the customer is not completely satisfied with the product, they shall return the products within 30 days from the date of invoice for a full refund.

  • The period of return is calculated from the Date of Invoice and the date of despatch of return material from the customer end.

DECLARATION


 

  1. I have read and understood the HEROIC NETWORK Business Plan, Product, Terms and Conditions from the website and I accept all the terms and conditions of the company.

 

  1. I am willing to associate with the company for my personal benefits without any compulsion from any one.

 

  1. I will not use the logo, letter style or name of the company for printing letters, boards or any other purpose without the company's permission in writing.

 

  1. I shall not force or give any false information to the people for promoting the company’s business.

 

  1. I will not indulge in any activity that may tantamount to furnish the goodwill and reputation of the company.

 

  1. I also understand that if I violate any terms and conditions of the company, I will be disqualified from doing business with the company and the company can initiate appropriate actions against me as they deem fit.
